    Terms of Use

    These Terms of Use ("Terms") form a legally binding agreement between you ("you" or "User") and sidething Ltd ("sidething", "we", "our", or "us"). They govern your access to and use of our website, app, and services (collectively, the "Service").

    sidething Ltd is a company registered in England and Wales (Company Number 16834072) with its registered office at 14/2E Docklands Business Centre, 10-16 Tiller Road, Canary Wharf, London, E14 8PX, United Kingdom.

    By using the Service, you agree to these Terms. If you don't agree, you must stop using it.

    1. Definitions

    1.1. Service — The sidething website, platform, app, and related experiences or events.

    1.2. Inner Circle — A small, matched group of members collaborating within the platform.

    1.3. Beta Features — Experimental tools or functions that may change or break.

    1.4. AI-Powered Features — Features within the Service that use artificial intelligence to generate suggestions, content, or analysis, including but not limited to the Sidekick assistant, task interpretation, roadmap generation, and voice transcription.

    1.5. Credits — Units used to access certain AI-powered or premium features, which may be included in your membership tier or purchased separately.

    2. Eligibility and Account Registration

    2.1. You must be at least 18 years of age to use the Service. By creating an account, you confirm that you meet this age requirement.

    2.2. Only one account per person; account sharing is not allowed.

    2.3. You are responsible for maintaining accurate and current registration details.

    2.4. You may request full account deletion at support@sidething.com.

    2.5. We may suspend or close your account if you breach these Terms or remain inactive for an extended period.

    3. Membership Tiers and Access Rights

    3.1. sidething offers free and paid membership tiers. The specific features, names, and pricing of each tier are described on our website and may change from time to time.

    3.2. Free access includes limited features. No advertising will ever appear on any tier.

    3.3. Paid tiers unlock enhanced tools, Inner Circles, AI-powered features, workshops, and additional content.

    3.4. Some workshops, resources, or events may require one-off purchases separate from membership.

    3.5. Features and access within tiers may change from time to time. Removed features are not guaranteed to continue or be "grandfathered."

    3.6. Subscription periods begin on the payment date and automatically renew monthly or annually, depending on your plan.

    3.7. Upgrades apply immediately with a prorated credit from your previous plan.

    3.8. Downgrades take effect at the next renewal date. Some data linked to premium features may become unavailable.

    3.9. Cancelling your plan keeps access until the end of your billing cycle; we do not offer partial refunds.

    4. Billing, Refunds and Cancellations

    4.1. All subscription charges are billed in advance through Stripe and are non-refundable except where required by law.

    4.2. Prices include applicable taxes where relevant.

    4.3. By subscribing, you authorise sidething to charge your chosen payment method for recurring billing.

    4.4. Legitimate payments cannot be reversed or disputed via chargeback; abuse may result in termination.

    4.5. If a billing error occurs, contact support@sidething.com within 14 days for review.

    4.6. One-time purchases: Certain features (such as credit top-ups or power boosts) may be available as one-time purchases. These are non-refundable once consumed or applied to your account.

    4.7. Credits: Credits included in your membership tier or purchased separately are non-transferable and have no cash value. Unused credits included in a subscription tier do not roll over between billing periods unless otherwise stated. Purchased credits do not expire while your account is active.

    4.8. Referral or incentive programmes follow separate published rules; misuse may void eligibility.

    4.9. Cancelling your subscription reverts your account to the Free tier at the end of the billing period.

    4.10. Deleting your account permanently removes all data associated with it.

    5. User Content and Platform Contributions

    5.1. You retain ownership of all content you submit or create, including wins, uploads, and responses.

    5.2. By submitting content, you grant sidething a non-exclusive, royalty-free licence to use and display it for platform operation and promotion.

    5.3. You may opt out of promotional use of your attributed content at any time by notifying support@sidething.com. Anonymised or aggregated data may still be used for product improvement.

    5.4. Your profile may be visible to other members in your Inner Circle, but contact and payment details remain private.

    5.5. Do not reuse or publish other users' content without permission.

    5.6. sidething is not responsible for how other users interpret or use shared content.

    6. AI-Powered Features

    6.1. Nature of AI features. The Service includes AI-powered features that provide suggestions, generate content, interpret tasks, estimate effort, and offer guidance. These features use third-party AI service providers to process your inputs and generate responses.

    6.2. Not professional advice. AI-generated outputs — including roadmaps, task suggestions, business guidance, and estimates — are provided for informational and planning purposes only. They do not constitute professional, financial, legal, or business advice. You are solely responsible for evaluating, verifying, and deciding whether to act on any AI-generated output.

    6.3. Accuracy and limitations. AI-powered features may produce inaccurate, incomplete, or unsuitable outputs. sidething does not guarantee the accuracy, reliability, or fitness for purpose of any AI-generated content.

    6.4. Your content and AI. When you use AI-powered features, the content you provide (such as messages, task descriptions, and business context) is sent to our AI service providers for processing. Our Privacy Policy (Section 8) explains how this data is handled.

    6.5. Ownership of AI outputs. You may use AI-generated outputs within the Service and for your own business purposes. However, AI-generated content may not be unique to you, and sidething does not claim or assign exclusive intellectual property rights in AI-generated outputs. You should not rely on AI outputs as proprietary or original work without independent verification.

    6.6. Acceptable use of AI features. You must not use AI-powered features to:

    • Generate content that is illegal, harmful, abusive, or violates the rights of others;
    • Attempt to extract, reverse-engineer, or circumvent the underlying AI models or systems;
    • Systematically scrape, harvest, or bulk-extract AI-generated content for use outside the Service;
    • Misrepresent AI-generated content as human-created professional advice;
    • Submit content designed to manipulate, exploit, or disrupt the AI system.

    6.7. Voice transcription. If you use voice input features, your audio recording is sent to a third-party transcription service, processed, and returned as text. Audio recordings are not retained by the transcription provider after processing.

    7. Privacy, Data Rights and Confidentiality

    7.1. Data handling follows our Privacy Policy and applicable data protection laws, including the UK GDPR.

    7.2. You have the right to access, correct, or delete your personal data.

    7.3. We collect technical and usage data (logins, task completion, engagement within features, device metadata) to improve performance and reliability.

    7.4. Account deletion removes your data from the live system; encrypted backups may persist for up to 30 days.

    7.5. Once deleted, access to all groups, sessions, and paid content ends immediately.

    8. Platform Behaviour and Conduct

    8.1. Users must act respectfully and professionally in all sidething spaces, including when interacting with AI-powered features.

    8.2. Harassment, discrimination, impersonation, or abusive behaviour result in immediate suspension.

    8.3. Unauthorised advertising, spam, or promotion of third-party services is prohibited.

    8.4. We may remove or reassign members in Inner Circles to protect community quality.

    8.5. Community guidelines may be updated periodically, and continued use implies acceptance.

    9. Intellectual Property and Platform Rights

    9.1. All sidething branding, pixel art, code, Sidekick character, and platform features are the property of sidething or its licensors.

    9.2. You may not copy, reproduce, or modify any part of the Service without written consent.

    9.3. sidething may use anonymised or aggregated user data for product improvement. Use of individually attributed content for marketing purposes is subject to Section 5.3.

    9.4. No IP rights are transferred to you except those required to use the Service.

    10. Beta Features and Service Interruptions

    10.1. sidething remains a beta-stage platform; features may change, break, or be removed without notice.

    10.2. Beta tools are provided "as is" and without warranties.

    10.3. While we strive for consistent service, we are not liable for bugs, outages, or third-party failures.

    10.4. You acknowledge that occasional errors may occur and accept the Service "as-is."

    10.5. Bug reports can be submitted to support@sidething.com.

    11. Events, Waivers and Insurance

    11.1. Participation in any sidething event (online or in-person) is voluntary and at your own risk.

    11.2. Some events may require additional forms or waivers; we'll notify you in advance if that applies.

    11.3. Participation may be restricted if requirements aren't met.

    11.4. sidething maintains appropriate event liability cover but isn't responsible for injuries, damages, or third-party issues.

    12. Disclaimers, Limitations and Liability

    12.1. sidething provides tools, education, AI-assisted features, and guidance for building side hustles. We make no guarantee of outcomes, revenue, or success.

    12.2. The Service is provided "as is" and "as available," without warranties of any kind, express or implied.

    12.3. To the fullest extent permitted by law, sidething disclaims all liability for indirect, consequential, or incidental damages — including loss of profits, data, or reputation.

    12.4. Our maximum aggregate liability is limited to the total amount you've paid in the twelve (12) months before the claim.

    12.5. We aren't responsible for third-party links, tools, or content shared through the platform.

    12.6. Without limiting the above, sidething is not liable for any losses arising from reliance on AI-generated outputs, including inaccurate suggestions, roadmaps, or estimates.

    13. Indemnity

    13.1. You agree to indemnify and hold sidething harmless from all claims, losses, and expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of third-party rights.

    14. Force Majeure

    14.1. sidething isn't liable for delay or failure caused by events beyond our control, including natural disasters, internet outages, third-party service provider failures or outages, strikes, or governmental action.

    15. Disputes, Chargebacks and Jurisdiction

    15.1. If you have a payment or billing issue, contact support@sidething.com before filing a chargeback.

    15.2. Unfounded or abusive chargebacks may result in immediate suspension and potential legal escalation.

    15.3. These Terms are governed by the laws of England and Wales, and you agree to the exclusive jurisdiction of English courts.

    16. Termination and Enforcement

    16.1. We may suspend or terminate accounts at any time for serious or repeated breaches of these Terms, fraud, or unlawful behaviour.

    16.2. Termination may occur without prior notice if needed to protect other users or the integrity of the Service.

    17. Communications and E-Signatures

    17.1. You consent to receive communications, notices, and updates electronically.

    17.2. Digital acknowledgements, checkboxes, or in-app confirmations constitute legally binding consent.

    18. Updates to Terms

    18.1. We may update these Terms periodically to reflect product or legal changes.

    18.2. Updates will be announced by in-app notice or email.

    18.3. Continued use after an update means you accept the revised Terms.

    19. Entire Agreement and Severability

    19.1. These Terms represent the entire agreement between you and sidething regarding your use of the Service.

    19.2. If any clause is found unenforceable, the remaining provisions still apply.
